
Jason Goodstein
More Than Just an Attorney
Jason is an experienced transactional attorney, litigator and counselor to companies and individuals. In his decade and a half of practice, he has represented clients in connection with the acquisition, leasing, financing, development and disposition of office buildings, residential multi-family developments, commercial and residential real estate, as well as other acquisitions (including stock and asset sales) and general corporate and business matters.
Jason has advised major lending institutions, private investors and borrowers in the origination and lending of mortgage loans, mezzanine loans, construction loans and unsecured revolving credit facilities. In addition, Jason has represented individuals and companies in connection with real estate and commercial litigation. He has defended and counseled clients in many actions in federal and state courts, both at the trial and appellate levels in the New York area. He has represented clients in foreclosure actions, specific performance and breach of contract cases, default judgments and arbitrations.
Before joining Goldman & Schapiro, Jason was a partner at Tratner, Molloy & Goodstein LLP, where he was active in all areas of the firm's real estate practice, including purchase and sale transactions, real estate loans, leases, development and financing, partnerships and joint ventures, as well as in the firm's real estate and commercial litigation practice.
Representative matters include:

numerous lenders in commercial and residential loan transactions, including hard-money loan and mezzanine loan transactions;

major confection manufacturer’s, U.S. Small Business Administration guaranteed loan, and Industrial Development Agency straight-lease transactions;

major national non-profit organization's acquisitions and loan transactions in connection with the purchase of numerous group homes in New York;
-
religious corporation's acquisition and refinance of its synagogue, including obtaining attorney general approval and requisite court order;
-
nationally recognized baked goods manufacturer’s asset sale of its bakery business;
-
purchasers, sellers and banks in all aspects of commercial and residential real estate transactions; and
-
nationally recognized garment distributor’s solar panel rooftop lease and energy purchase agreement.
In his real estate litigation practice, Jason has represented clients in matters that include:

specific performance of a real estate contract; successfully defending client's right to the return of contract downpayment;

vacatur of a notice of pendency to enable the refinance of a multi-family dwelling;

foreclosure of a residential mortgage held by a private lender, where he successfully obtained a judgment of foreclosure and sale while opposing the borrowers' opposition motions in the New York State Appellate Court and the Court of Appeals; and
-
confirmation of numerous arbitration awards under Article 75 of the CPLR
Jason received his J.D. from Benjamin N. Cardozo School of Law, and his BA, Magna Cum Laude, from Touro College. While in law school, Jason was on the Senior Staff of the Cardozo Women's Law Journal-Journal of Gender and Social Issues.
